An ordinance pertaining to the City Airport Commission authorizing, pursuant to Sections 70.210 to 70.320 R.S.Mo. 1994, Cooperation Agreements with St. Charles County and St. Clair County for the planning, development and operation of Lambert-St. Louis International Airport by providing for St. Charles County and St. Clair County representation on the City Airport Commission; amending Section 18.08.030, City Airport Commission of the Revised Code, City of St. Louis, 1994, Anno.; and containing an emergency clause.

BE IT ORDAINED BY THE CITY OF ST. LOUIS AS FOLLOWS:

SECTION ONE. Pursuant to Sections 70.210 to 70.320 R.S.Mo. (1994), the Mayor and Comptroller are hereby authorized and directed to execute on behalf of the City of St. Louis (the "City") a Cooperation Agreement with St. Charles County, Missouri, ("St. Charles") in the form set forth in Exhibit A of this ordinance and a Cooperation Agreement with St. Clair County, Illinois, ("St. Clair") in the form set forth in Exhibit B of this ordinance.

SECTION TWO. The Cooperation Agreement with St. Charles shall not be executed on behalf of the City unless and until an ordinance of St. Charles authorizing and directing execution of such Cooperation Agreement by the appropriate officers of St. Charles shall have been duly adopted by St. Charles.

SECTION THREE. The Cooperation Agreement with St. Clair shall not be executed on behalf of the City unless and until a resolution of St. Clair authorizing and directing execution of such Cooperation Agreement by the appropriate officers of St. Clair shall have been duly adopted by St. Clair.

SECTION FOUR. Section 18.08.030, City Airport Commission of the Revised Code, City of St. Louis, 1994, Anno., which provides as follows: The City Airport Commission, hereinafter called the "Commission," shall consist of the following members:

A. Director of Airports, who shall be Chairman of the Commission;

B. The Chairman of the Transportation and Commerce Committee of the Board of Aldermen (or such other committee to which, pursuant to the rules of the Board of Aldermen, bills affecting the Airport are assigned);

C. The President of the Board of Aldermen;

D. Six appointive members;

E. On and after the effective date of that certain cooperation agreement between the City and Saint Louis County, Missouri, authorized by Ordinance 61696, in addition to the six appointive members provided for in subsection D, the Comptroller of the City shall become a member of the Commission and five additional members of the Airport Commission may be appointed by the County Executive of St. Louis County as provided in such cooperation agreement.


The terms of the appointive members serving on the City Airport Commission on the date this ordinance comes effective shall continue until their normal expiration dates, at which times the Mayor shall fill the expiring terms by making appointments for four year terms. A majority of the Commission shall constitute a quorum for transacting business and every member shall be entitled to a vote. The Director and any member appointed by the Mayor may be removed for cause by the Mayor after written charges have been preferred and after a public hearing held on due notice to such member. Such member shall have the right to be heard in person or by counsel at any such public hearing. Each appointed member of the Commission shall be paid for each day on which he actually attends an official meeting of the Commission, the amount of pay shall be determined in accordance with the Charter and ordinances of the City. All members of the Commission shall be reimbursed for necessary traveling and other expenses incurred in the performance of their duties, subject to the approval of the Board of Estimate and Apportionment.

G. On and after the Effective Date of that certain Cooperation Agreement between the City and St. Charles County, Missouri, authorized by Ordinance (this ordinance), in addition to the six appointive members provided for in Subsection E, one additional member of the Airport Commission may be appointed by the County Executive of St. Charles County, Missouri as provided in such Cooperation Agreement;

H. On and after the Effective Date of that certain Cooperation Agreement between the City and St. Clair County, Illinois, authorized by Ordinance (this ordinance), in addition to the six appointive members provided for in Subsection E, one additional member of the Airport Commission may be appointed by the Chairman of the County Board of St. Clair County, Illinois as provided in such Cooperation Agreement.

Such member shall have the right to be heard in person or by counsel at any such public hearing. Each appointed member of the Commission shall be paid for each day on which he actually attends an official meeting of the Commission, the amount of pay shall be determined in accordance with the Charter and ordinances of the City. All members of the Commission shall be reimbursed for necessary traveling and other expenses incurred in the performance of their duties, subject to the approval of the Board of Estimate and Apportionment.

SECTION FIVE. This being an ordinance for the preservation of public peace, health and safety, it is hereby declared to be an emergency measure within the meaning of Sections 19 and 20 of Article IV of the Charter of the City of St. Louis and therefore this ordinance shall become effective immediately upon its passage and approval by the Mayor.

Exhibit A
COOPERATION AGREEMENT

This Agreement is entered into this day of , 19 , ("Effective Date") by and between The City of St. Louis, Missouri, a municipal corporation of the State of Missouri, (the "City") and St. Charles County, Missouri, a political subdivision of the State of Missouri, ("St. Charles").

Premises

1. The City owns and operates Lambert-St. Louis International Airport, (the "Airport") the principal general and commercial aviation facility serving eastern Missouri and other parts of southern Illinois including St. Clair County, Illinois, and located in St. Louis County, Missouri.

2. The Airport is presently administered by a City Airport Commission (the "Commission"), governed by City ordinance consisting of fifteen members including the City's Director of Airports, the Chairman of the Transportation and Commerce Committee of the City's Board of Aldermen, the President of the City's Board of Aldermen, the City Comptroller, six members appointed by the Mayor of the City, and five members appointed by the St. Louis County Executive.

3. The City and St. Charles each believe that, in order to promote more effective planning, development, and operation of the Airport, it would be in their best interests, and in the best interest of the metropolitan area of which they are each a part, to provide for membership on the Commission of a member appointed by the St. Charles County Executive as hereinafter provided.


In consideration of the foregoing Premises and of their respective agreements and undertakings hereinafter set forth, the City and St. Charles agree as follows:

Provisions

1. As soon as is practicable after the Effective Date the St. Charles County Executive shall appoint a member to the Commission.

2. Thereafter, upon the expiration of the term of the member of the Commission appointed by the St. Charles County Executive, or the occurrence of a vacancy by reason of death, resignation or removal of such a member, the vacancy shall be filled by the St. Charles County Executive.

3. Any person appointed to the Commission by the St. Charles County Executive shall be a resident of St. Charles County, Missouri. Any person so appointed who removes his or her residence from St. Charles County, Missouri shall thereby forfeit his or her position on the Commission. No person appointed to the Commission by the St. Charles County Executive shall be deemed an officer or employee of the City of St. Louis for any purpose whatsoever.

4. This Agreement is executed pursuant to Sections 70.010 to 70.320 R.S.Mo. 1994 and shall be construed in light thereof.

5. St. Charles acknowledges that the duties and terms of office of Commissioners may from time to time be determined by City ordinances not inconsistent herewith. Removal from office for cause of a St. Charles appointee shall be governed by rules for removal of appointees of the Mayor.

6. This Agreement may be terminated immediately upon adoption of an ordinance providing for such termination by either the City or St. Charles.

COOPERATION AGREEMENT

5. St. Clair acknowledges that the duties and terms of office of Commissioners may from time to time be determined by City ordinances not inconsistent herewith. Removal from office for cause of a St. Clair appointee shall be governed by rules for removal of appointees of the Mayor.

6. This Agreement may be terminated immediately when legally authorized by either the City or St. Clair.
